Terms of Sale

1. Purpose

These terms of sale (the “Terms”) govern the sale of subscriptions to the Subkick Caption software (the “Software”) purchased on subkickcaption.com by any person (the “Customer”). Any subscription implies full acceptance of these Terms. They supplement the Terms of Use and the Privacy Policy.

Payment collection, invoicing and VAT are handled by our payment provider acting as reseller (“Merchant of Record”, see section 4).

3. Plans and prices

The Software is offered under several plans: a free mode (Free) and paid subscriptions (Pro and Max), billed monthly or yearly. The features and current prices are shown on the site's Pricing page at the time of order.

Prices are stated in euros. Any applicable VAT is determined and collected by the payment provider based on the Customer's country (see section 4). Prices may change at any time; the price that applies is the one in force at the time of subscription or renewal, and the Customer is informed of any price change affecting them before renewal.

4. Payment — provider (Merchant of Record)

Payments are processed by Lemon Squeezy, acting as official reseller (“Merchant of Record”): it collects the price, issues the invoice and collects then remits the applicable VAT. Payment data processing is subject to that provider's terms and privacy policy; the Seller never has access to the Customer's full payment-card details.

The price is due upon subscription and at each renewal, via the registered payment method. In the event of non-payment, access to paid features may be suspended.

5. Term and renewal

The subscription is taken out for the chosen period (monthly or yearly) and renews automatically for successive periods of the same length, unless cancelled by the Customer. The Customer may stop renewal at any time (see section 7).

6. Right of withdrawal

Under articles L221-18 et seq. of the French Consumer Code, a consumer Customer has, in principle, a fourteen (14) day period to withdraw from a distance purchase.

However, by subscribing to a plan that grants immediate access to the Software, the Customer expressly requests immediate performance of the service and acknowledges, under article L221-28 of the French Consumer Code, that the right of withdrawal can no longer be exercised once the service has been fully performed, or — for digital content supplied immediately — from the start of its performance. The free mode allows the Software to be tried before any payment.

7. Cancellation and refunds

The subscription has no minimum commitment: the Customer may cancel at any time from their management area or by writing to [email protected]. Cancellation stops renewal: the Customer keeps access to paid features until the end of the current paid period, which remains due.

Unless a mandatory legal provision states otherwise or as a goodwill gesture, amounts paid for a started period are not refunded pro rata. In case of any issue, the Customer is invited to contact us: every request is reviewed in good faith.

8. Legal guarantees

Regardless of any commercial warranty, the consumer Customer benefits from the legal guarantee of conformity (articles L217-3 et seq. of the French Consumer Code) and the guarantee against hidden defects (articles 1641 et seq. of the French Civil Code), under the conditions and within the time limits set by law.

9. Liability

To the extent permitted by law, the Seller cannot be held liable for indirect damage resulting from the use of, or inability to use, the Software. It is the Customer's responsibility to keep a backup of their projects. These Terms do not limit the rights the consumer Customer holds under the law.

Under articles L612-1 et seq. of the French Consumer Code, after sending a written complaint to the Seller, the consumer Customer may use a consumer mediator free of charge: CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice — online at www.cm2c.net, or by post at CM2C, 49 rue de Ponthieu, 75008 Paris.

12. Governing law & disputes

These Terms are governed by French law. In the event of a dispute, and failing an amicable or mediated resolution, the competent courts will be determined in accordance with applicable legal rules.
